Terms of Use

Welcome to OtoWhisper. By downloading, installing, or using the OtoWhisper application ("the App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the App.
1. Apple Licensed Application End User License Agreement
The App is licensed to you, not sold. Your use of the App obtained through the Apple App Store is subject to the Apple Licensed Application End User License Agreement ("Apple Standard EULA"), in addition to these Terms. In the event of any conflict between these Terms and the Apple Standard EULA, the Apple Standard EULA shall prevail with respect to your use of the App obtained through the Apple App Store.
2. Service Description
OtoWhisper is a mobile application that provides AI-powered audio subtitle generation (transcription) and translation services. The App allows users to:
- Upload audio files and generate timestamped subtitle files (SRT) using AI speech recognition.
- Translate Japanese subtitles into bilingual subtitles in your preferred language.
- Play audio with synchronized subtitle display.
- Manage audio and subtitle files locally and via iCloud Drive.
3. Account
To access certain features, you must create an account using Sign in with Apple. You are responsible for maintaining the security of your account. You agree to notify us immediately of any unauthorized access to your account.
4. Subscriptions and Payments
OtoWhisper offers auto-renewable subscription plans to unlock premium features:
- Monthly Subscription — Billed every month.
- Quarterly Subscription — Billed every 3 months.
- Annual Subscription — Billed every 12 months.
Important subscription terms:
- Payment will be charged to your Apple ID account at confirmation of purchase.
- Your subscription automatically renews unless you cancel it at least 24 hours before the end of the current billing period.
- Your account will be charged for renewal within 24 hours prior to the end of the current period at the same subscription price.
- You can manage and cancel your subscriptions by going to your iPhone Settings → [Your Name] → Subscriptions.
- Any unused portion of a free trial period (if offered) will be forfeited when you purchase a subscription.
- Prices may vary by region and are subject to change. Any price changes will take effect at the start of the next subscription period following the change.
5. Free Tier
New users may receive a limited free quota for transcription. Once the free quota is exhausted, a subscription is required to continue using premium features. The free quota amount may be adjusted at our discretion.
6. Acceptable Use
You agree not to:
- Use the App for any unlawful purpose or in violation of any applicable laws.
- Upload content that infringes on third-party intellectual property rights.
- Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
- Interfere with or disrupt the App's servers, networks, or services.
- Use automated tools, bots, or scripts to access the App or its services.
- Resell, redistribute, or commercially exploit the App's transcription or translation services.
7. Intellectual Property
- The App, including its design, code, features, and branding, is the intellectual property of OtoWhisper and is protected by applicable copyright and trademark laws.
- Audio files you upload remain your property. By using the App, you grant us a limited, temporary license to process your audio solely for the purpose of providing the transcription and translation services.
- Subtitle files generated by the App are provided to you for your personal, non-commercial use.
8. AI-Generated Content Disclaimer
Transcription and translation results are generated by artificial intelligence (Groq for speech recognition, Google Gemini for translation). While we strive for accuracy, we do not guarantee that AI-generated content is 100% accurate, complete, or error-free. You should not rely on AI-generated subtitles for critical or professional purposes without independent verification.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The App may be temporarily unavailable due to:
- Scheduled or emergency maintenance.
- Server or network issues.
- Third-party service outages (e.g., Groq, Gemini API).
- Force majeure events.
We are not liable for any loss or inconvenience caused by service interruptions.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- The App is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.
- Our total liability to you for any claims arising from these Terms shall not exceed the amount you paid for the App in the 12 months preceding the claim.
11. Termination
We reserve the right to suspend or terminate your access to the App at any time if you violate these Terms. Upon termination:
- Your right to use the App ceases immediately.
- We are not obligated to retain any of your data.
- Active subscriptions can still be managed and cancelled through Apple's subscription management.
12. Privacy
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App or on our website. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
